1. Acceptance of Terms

By using the services provided by Nova Subup LLC, a limited liability company registered in the State of Wyoming, United States (“Nova”, “we”, “us”, or “the Agency”), you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions as well as our Privacy Policy. These terms apply to all clients, visitors, and users, whether engaged online or offline.

2. Use of Services

To ensure a professional and legally compliant environment, you agree to comply with the following conditions when using our services:

Eligibility
You must be at least 18 years old to use the services of Nova.

Client Responsibility
You are responsible for all content, data, or materials transmitted to our team. You agree to provide accurate, current, and complete information, and to promptly update us of any changes in your status.

Prohibited Uses
You agree not to:

  • Use our services for any illegal or unauthorized purpose

  • Share or upload malicious, defamatory, or harmful content

  • Infringe upon the intellectual property rights of others

  • Attempt to disrupt the proper functioning of our systems or services

3. Client-Provided Content

As part of our services, you may be required to provide content (images, text, branding assets, etc.). The following conditions apply:

Ownership
You retain full ownership of the assets you send us. By submitting this content, you grant Nova a limited, non-exclusive, royalty-free license to use it solely for the purpose of executing the contracted services.

Liability
You represent that you hold all necessary rights to use and share all content provided. We disclaim any liability for claims related to rights infringement on your content.

4. Intellectual Property

All intellectual property associated with our services—including methodologies, strategic concepts, designs, code, and documents—remains the exclusive property of Nova or its licensors.

You are not authorized to:

  • Reproduce, copy, or distribute our deliverables outside of the agreed scope

  • Modify, disassemble, or commercialize our proprietary tools or resources

  • Present our content as your own

5. Payment and Fees

All projects or packages are subject to fees agreed upon in US Dollars (USD), specified in the quote, invoice, or service agreement.

  • Payment terms are generally 50% upfront and 50% upon delivery, unless specified otherwise.

  • Late payments may incur interest charges of 1.5% per month, or the maximum amount allowed by applicable law, on outstanding balances.

  • No deliverables will be handed over until final payment has been received.

6. Termination

We reserve the right to suspend or terminate our services at any time if:

  • The client breaches these Terms

  • Payment is not received on time

  • Abusive, fraudulent, or unethical behavior is identified

Upon termination, all licenses and authorizations granted under these Terms will be immediately revoked.

7. Warranty Disclaimer

No Guarantee of Results
While we commit to delivering high-quality work, we do not guarantee specific results, including revenue, subscriber growth, or engagement metrics.

Services Provided "As Is"
All services are provided on an "as is" and "as available" basis. We disclaim all express or implied warranties, including those of merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of Liability

To the extent permitted by law, Nova shall not be held liable for:

  • Indirect or consequential losses

  • Business interruptions or loss of data

  • Claims resulting from third-party tools or platforms beyond our control

Our liability shall not exceed the total amount paid for the services in question.

9. Modifications to Terms

Nova reserves the right to modify these Terms at any time. Changes will take effect immediately upon publication on our official website or via email notification. Your continued use of our services constitutes acceptance of the updated terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any dispute falls under the exclusive jurisdiction of the courts of the State of Wyoming, United States.
